To whom it may concern,
With the Decree annexed to the Presidential Decree dated 24.11.2023 and numbered 7887 published in the Official Gazette dated 25.11.2023 and numbered 32380 and amended in the Official Gazette dated 26.11.2023 and numbered 32381 (“Decree”), the minimum capital amounts required to be provided by joint stock companies and limited liability companies regulated in Articles 332 and 580 of the Turkish Commercial Code No. 6102 have been amended. In this regard;
- The minimum share capital amount of 50.000,00.-TL for joint stock companies increased to 250.000,00.-TL,
- The minimum initial capital amount of 100.000,00.-TL for non-public joint stock companies that have accepted the registered capital system increased to 500.000,00.-TL, and
- The minimum share capital amount of 10.000,00.-TL for limited liability companies increased to 50.000,00.-TL.
The announcement published by the Ministry of Trade regarding the Decree, states that the increased minimum capital amounts will only apply to newly established companies, effective as of 01.01.2024, and that existing companies are not required yet to increase their capital to comply with these amounts. However, existing companies are also advised to increase their capital to at least the aforementioned amounts in order to strengthen their equity structure.
